Certificate of Good Standing

This official document can be used as evidence that a company is incorporated and authorised to undertake business within Ireland and that the company has remained in existence since its incorporation.
A Certificate of Good Standing is commonly known as a CRO Letter of Status. If an Irish company is in good standing it can apply to have a letter of status issued by the Companies Registration Office (CRO). This official document contains key information about the company and certifies that the company filings and accounts are up to date. The certificate will confirm that no action is being taken by the CRO to strike the company from the register, this is known as an involuntary strike-off.
To qualify for a certificate of good standing, a company must be properly maintained since incorporation. Some requirements are specific to the company type such as director residency and the number of appointed corporate officers. If the company does not meet its requirements or the annual return is overdue the company could lose its status. If a company needs to have its status restored, all outstanding filings must be completed, and overdue fees paid. A CRO Letter of Status (certificate of good standing) will contain the following information regarding an Irish Company:

- Company Name, Registration Number, and Registration Date
- Confirmation that the Company Annual Returns and Accounts are filed up to date
- Confirmation that the Company is not in liquidation or subject to an administration order
- Confirmation that no receiver or manager of the company’s property has been appointed
- The Certificate of Good Standing is dated and signed by a CRO representative
The letter of status is accompanied by a Company Printout which contains key information such as the company director(s), company secretary, registered office address, and a full list of CRO filings with dates including the initial filing to incorporate the company. Please note the details of shareholders or beneficial owners of the company are not included in the CRO letter of status. However, this information is included in a Certificate of Incumbency.
