Poland Company Formation

Poland is considered to be one of the most popular jurisdictions in Europe for start-up companies. The country became a member of the EU in 2004 is now the largest market in Central Europe. Company types in Poland

There are two main company types used by foreign investors who want to incorporate a company in Poland:

  • Limited Liability Company (sp. z o.o)
  • Joint Stock Company (S.A.)

Limited Liability Company (sp. z o.o) – A Polish sp. z o.o is the most used company format small and medium sized enterprises. The minimum share capital of this company type is €1,200 and must be fully paid on incorporation. Only one director is required to incorporate an sp. zo.o and there are no restrictions of foreign directors.

Joint Stock Company (S.A.)- A Polish SA is used for large companies who require to raise capital from the public. The minimum share capital of this company type is €24,000 and at least 25% of this must be paid on incorporation. A minimum of 8% of the company’s annual profits are required to go to the company’s reserve fund.

Polish Bank Accounts

Poland is becoming an important regional centre for international banking and majority of major financial institutions are located in the country. There are also local banks in Poland which can provide facilities for foreign investors and offer much the same services as the major financial institutions. Please note that opening a bank account in Poland does require specialist advice.
