Our Annual Company Compliance Service ensures your company meets all statutory requirements, including filing annual returns, maintaining statutory registers, and meeting compliance deadlines. We will be the named Secretary and this service includes any filings or generation of paperwork:

  • Electronic Filing of the Companies Registration Office (CRO) Annual Return using our Company Secretarial Software.
  • Looking after all Company Secretarial matters* e.g. miscellaneous changes in directors, registered office, shareholders, increase in share capital
  • Holding, updating, and maintaining the 7 statutory registers and minute book.
  • Preparation of AGM Proxy Forms and minutes
  • Keeping of AGM, EGM, and Directors minutes with register  (if required)
  • Safe-keeping of Company Seal (if required)
  • 2.5 hours of company secretary time included (1 hour reserved for the annual return filing)
  • Monitoring of company on CORE system (protects against fraud)
  • Provision of Corporate Company Secretary

This is for the Annual fee of €595 plus VAT.

If this exceeds 2.5 hours the discounted rate per hour thereafter is €100 plus VAT.

You have 56 days from your Annual Return Date (ARD) to file your return with the Companies Registration Office (CRO). Once this deadline passes, penalties begin accumulating immediately so if you've missed the deadline, don't delay further: time is critical. You have options, such as submitting a late annual return with financial statements and paying any associated fines. Alternatively, you might consider applying to the district court for an extension to file your annual return.

There are several mandatory company filings, and requirements depend on the type of company you have. These include:

Annual Returns

  • First filing within 6 months of incorporation, then every 12 months
  • Must include abridged financial accounts (from second return onwards)

Register of Beneficial Ownership (RBO)

  • Must be filed within 5 months of incorporation

Other mandatory filings include:

  • Filing of director/office changes within 14 days
  • Maintainence of accurate internal registers
  • Accounting and/or tax obligations, depending on specific circumstances e.g companies that are registered for VAT must file VAT returns
